NOTICE OF ANNUAL GENERAL MEETING

Notice is hereby given that the 44th Annual General Meeting of the Royal Motor Yacht Club Broken Bay New South Wales, will be held at the Clubhouse, 46 Prince Alfred Parade, Newport, New South Wales on Wednesday 28th September 2016 at 7:30pm.

  1. Apologies
  2. To confirm the Minutes of the 43rd Annual General Meeting, held on Wednesday 23rd September 2015.
  3. To receive the General Committee’s 44th Annual Report,
  4. To receive the Financial Report, Directors’ Report and the Auditor’s Report on the Financial Report for the last financial year. Copies of these reports are available on the Club’s website (www.royalmotor.com.au) and are also available from the Club on request.
  5. To consider, and if thought fit, pass the following Ordinary Resolutions set out below.

 

GENERAL BUSINESS


ORDINARY RESOLUTIONS

First Ordinary Resolution (Directors’ Expenses)

That Members hereby approve expenditure by the Club up to $15,000 until the next Annual General Meeting for the following activities by Directors:

  • The reasonable cost of hosting Flag Officers/Directors/Dignitaries of other Yacht Clubs at the Club on official occasions
  • The reasonable costs of attending and representing the Board at Club functions and functions outside the Club
  • The reasonable costs of attending Club and/or Marina Industry Meetings, Trade Displays and Courses for Education of Directors.


Second Ordinary Resolution (Parking)

That Members hereby approve Directors, Past Commodores, Life Members and the General Manager having exclusive designated car parking areas in the Club’s car park.

PROCEDURAL MATTERS FOR RESOLUTIONS


  1. To be passed an Ordinary Resolution must receive votes from at least a majority (ie. 50% plus 1) of those members who being eligible to do so vote in person on the Ordinary Resolution at the meeting.
  2. Under the Registered Clubs Act: (a) members who are employees of the Club are not entitled to vote; and (b) proxy voting is prohibited.
  3. The Board of the Club recommends each of the Ordinary Resolutions to members.


QUESTIONS AND RECOMMENDATIONS


If members have questions in regard to the Financial Report, Directors’ Report or the Auditor’s Report, they are requested to submit those questions to the Secretary not later than 21st September 2016 to allow time for an appropriate response.

Members who wish to make recommendations or proposals for consideration by the Board will be able to do so in general business.
